Terms of Use

These Terms of Use ("Terms") are a legal agreement between you ("you", the "End User") and Framtidsforum I&M AB, Hällbygatan 34 A, 752 28 Uppsala, Sweden (organisationsnummer 556406-9770) ("Framtidsforum", "we", "us"), governing your use of SpreadsheetConverter and the related online services. By signing in to or using SpreadsheetConverter you agree to these Terms.

These Terms are the End-User License Agreement

These Terms of Use constitute the End-User License Agreement (EULA) for the SpreadsheetConverter add-in. There is no separate license document.

The service

SpreadsheetConverter converts Microsoft Excel workbooks into interactive, calculating web pages. The service is provided as a Microsoft Excel add-in together with online conversion, testing, and hosting services, namely:

the online application at app.spreadsheetconverter.com;
cloud test / preview — converting and rendering a workbook server-side so you can test the result; and
publish to cloud — hosting a converted page on our infrastructure at a shareable URL.

This broad description of "online conversion, testing, and hosting services" also covers further server-side processing of your workbook. The disclaimers and liability limitations in these Terms apply to all of these service surfaces, not only to use of the add-in software.

Grant of license

Subject to the terms and conditions of these Terms, Framtidsforum hereby grants the End User, and the End User accepts, a non-exclusive, non-transferable license to use the Software and services as follows:

To access and use the Software and the online services through your Microsoft 365 account, in accordance with your entitlement (trial or paid tier).
To use the Software for any purpose, including but not limited to the development of commercial Application Programs, but not including producing commercial versions of the Software itself.

Restrictions

The End User agrees not to cause or permit the reverse engineering, disassembly, or decompilation of the Software.
The End User must not remove or obscure the copyright notice that SpreadsheetConverter places on the generated web pages.
You are not permitted to expose, either directly or indirectly, any API that allows programmatic access to the run-time libraries.
Your web pages or software product(s) are targeted at end-users, and are not a development tool.

Your converted pages and the run-time library

The scope of your right to reproduce, distribute, and resell the web pages generated by the Software — including the run-time library embedded in them — depends on the subscription plan (edition) you purchase, as set out in that plan's published terms. In general:

A lower-tier ("Standard"-type) plan grants a royalty-free right to reproduce and distribute the generated pages on a single domain, or a web site representing your own organisation, or in an internal application partly constructed using the Software.
A higher-tier ("Professional"-type) plan grants a royalty-free right to reproduce and distribute the generated pages on any web server, or as part of a commercial application partly constructed using the Software, and to resell those web pages or applications.

Pages produced under a trial are for evaluation only and may not be published or distributed except for evaluation purposes.

Ownership

By virtue of this Agreement the End User acquires only the rights in Grant of license. All right, title and interest in the Software remains with Framtidsforum. The End User retains all intellectual property rights to any spreadsheet converted by the Software.

Trial tier

A trial subscription is provisioned automatically on first sign-in. Under a trial, conversions are limited to the first 20 rows of the first worksheet and the resulting page carries a trial watermark. The trial is for evaluation; to remove the limits, upgrade to a paid plan.

Paid subscription, cancellation, and refunds

Paid plans (monthly or annual, per the published pricing) remove the trial limits. You may cancel at any time; cancellation takes effect at the end of the current billing period and you retain access until then. Refunds, where offered, are handled under the policy of the Merchant of Record that processed your purchase (see Billing and seller of record) and within applicable mandatory consumer law.

Billing and seller of record

Framtidsforum is the licensor of the Software and the provider of the services. Framtidsforum is not the seller of record for paid purchases. Purchases are processed by a third-party Merchant of Record (the Microsoft Commercial Marketplace, or another payment provider such as FastSpring or Paddle), which is the seller of record for the transaction and which collects and remits any applicable Value Added Tax (VAT). Your purchase is also subject to that Merchant of Record's terms.

Deployment of generated pages

The deployment of the web pages generated by the Software is entirely the responsibility of the End User. There is no warranty that the web pages fit your particular deployment environment. If the deployment environment is hosted by a third party, any responsibilities against this third party lie entirely with the End User. There is no warranty that the web pages generated by the Software fulfill the requirements of any third party. Where you use our publish-to-cloud hosting, that hosting is provided as a convenience and does not transfer to us responsibility for the content, lawfulness, or fitness of the pages you generate and publish.

Acceptable use

You agree not to: upload workbooks containing material you do not have the right to convert, host, or share; use the service for unlawful content; attempt automated or bulk conversion beyond reasonable individual use; circumvent the trial limits or entitlement checks; or attempt to gain unauthorised access to the service or other users' data.

Warranty disclaimer

The service and Software are provided "as is". Except as expressly stated in these Terms, there is no representation or warranty, express or implied, as to any matter whatsoever, including without limitation, the condition of the Software, its merchantability or fitness for a particular purpose.

DUE TO THE NATURE OF EVOLVING PROGRAMMING AND THE VARIOUS HARDWARE AND SOFTWARE ENVIRONMENTS IN WHICH THIS SOFTWARE MAY BE USED, IT IS UNDERSTOOD THAT OCCASIONAL "BUGS" OR UNFITNESS MAY ARISE. THE USER SHOULD ALWAYS TEST THIS SOFTWARE THOROUGHLY WITH NON-CRITICAL DATA BEFORE RELYING ON IT.

Intellectual-property infringement

To the best of Framtidsforum's knowledge the Software or the use thereof does not infringe any third party's rights. Framtidsforum shall have no responsibility whatsoever for any claims of infringements of patents, trademarks, industrial designs, copyrights or other property rights affecting the End User's use of the Software. The foregoing states the entire liability and obligation of Framtidsforum with respect to infringement or claims of infringement of any patent, copyright, trade secret, or any other proprietary right.

Limitation of liability

Framtidsforum shall not be liable to the End User for any loss or damage whatsoever or howsoever caused arising directly or indirectly in connection with this Agreement, the Software, its use or otherwise. Notwithstanding the generality of the above, Framtidsforum expressly excludes liability for consequential loss or damage which may arise in respect of the Software, its use, the system or in respect of other equipment or property, or for loss of profit, business revenue, goodwill or anticipated savings. Regardless of whether any remedy fails of its essential purpose, in no event will Framtidsforum be liable for incidental, indirect, special or consequential damages, notwithstanding being aware of the possibility of such damages.

Consumer rights

Nothing in these Terms limits or excludes any rights you have under the mandatory consumer-protection law of your country that cannot be limited or excluded. EU/EEA and UK consumers have additional rights — including a right of withdrawal — set out in our EU & UK Terms.

Governing law and venue

This Agreement shall be governed by and construed in accordance with the substantive laws of Sweden. To the extent permitted by mandatory consumer law, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Sweden, with Uppsala tingsrätt as the court of first instance.

Entire agreement

These Terms are the complete and exclusive statement of agreement between the parties and supersede all proposals or prior agreements, oral or written, and any other communications between the parties relating to their subject matter.

Changes to these Terms

We may update these Terms; material changes bump the "Last updated" date at the top of this page. Continued use after a change constitutes acceptance.
